§ 1Scope, provider & conclusion of contract

These General Terms and Conditions (GTC) govern the use of the software-as-a-service platform Lalabase (hereinafter the "Platform") between the provider and the customer. The provider and contracting party is:

Companygboyke solutions UG
AddressLerchenweg 9b, 21224 Rosengarten, Germany
Managing directorGuido Boyke
VAT IDDE348212591

The Platform is aimed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code), i.e. natural or legal persons who, when concluding the contract, act in the exercise of their commercial or independent professional activity. No offer is made to consumers. By registering, the customer confirms acting as an entrepreneur in this sense. Deviating or supplementary terms of the customer are rejected unless expressly agreed to in text form.

The contract for the use of free services is concluded when registration is completed and the provider activates access; the contract for paid plans is concluded when the respective order is completed and confirmed by the provider.

§ 2Subject matter of the contract

Lalabase is a web-based, multi-tenant application for project management, documentation, task management and time tracking, as well as optional AI-supported functions. The provider makes the Platform available to the customer for use via the internet for the term of the contract (software as a service). No installation on the customer's systems is required; the provision of the source code is not owed under the SaaS offering.

The specific scope of functions and services depends on the plan chosen by the customer or the respective order. The provider continuously develops the Platform further and is entitled to add, change or discontinue functions, provided that this does not significantly impair use in accordance with the contract.

Plans may provide for quotas and usage limits, in particular for included AI quotas (credits), the number of organisations and projects that can be created and the number of users who can be invited free of charge. The current plan description or price list applies; there is no entitlement to unlimited or unchanged quotas and usage limits. The provider is entitled to adjust quotas and usage limits with effect for future billing periods insofar as this is reasonable, taking the customer's interests into account; the provider announces significant restrictions in text form with reasonable notice. The agreed quotas remain unaffected for billing periods already paid. For free plans and additional services provided free of charge, the provider may change quotas and usage limits at any time; § 12 remains unaffected.

The provider is entitled to use subcontractors and upstream suppliers (e.g. data centre, infrastructure and AI providers) to perform its services and to change them, provided that the provider's contractual obligations towards the customer are upheld. For the processing of personal data by processors, the provisions of the data processing agreement (§ 13) apply in addition.

These GTC apply exclusively to the Platform operated by the provider and to services relating to it. If the provider makes an open-source edition of the software available for operation on the customer's own infrastructure, its use is governed exclusively by the terms of the respective open-source licence; these GTC do not apply to it.

§ 3Registration & user account

Use of the Platform requires the creation of a user account. The customer is obliged to provide the information requested during registration truthfully and completely and to keep it up to date in the event of changes.

Access credentials must be kept confidential and protected against access by third parties. The customer is responsible for all activities carried out via its account. Any suspicion of misuse must be reported to the provider without undue delay.

The customer may grant further persons (members of its organisation) access to its organisation. The customer ensures that these persons also comply with the provisions of these GTC.

§ 4Obligations of the user

The customer undertakes to use the Platform only within the scope of the applicable laws and these GTC. In particular, it is prohibited:

  • to post or distribute content that is unlawful, offensive or infringes the rights of third parties;
  • to introduce malware or to circumvent the Platform's security measures;
  • to place an excessive load on the Platform, in particular through automated access outside the interfaces provided for this purpose;
  • to make the Platform accessible to third parties outside the customer's own organisation without the provider's consent.

Access via the interfaces provided by the provider (e.g. API, MCP) is permitted within the scope of intended use. The provider may set reasonable technical usage limits for this (such as rate limits). If the customer expects a significant increase in its usage volume, it informs the provider in advance where possible.

The customer remains responsible for the content it posts. Without prejudice to the data backups made by the provider, it is the customer's responsibility to additionally back up data essential to it at reasonable intervals, for example by using the export functions.

§ 5AI functions

The Platform offers optional AI-supported functions (e.g. assistant, search and analysis functions). AI functions are ancillary services; they are only available if the customer has activated them for its organisation (opt-in). The provider may continuously develop, change or discontinue AI functions.

To provide the AI functions, the provider may use third-party providers (in particular operators of AI models). The service providers used in each case are listed in the privacy policy or the data processing agreement.

Customer content is not used to train AI models,

unless this is expressly agreed separately.

There is no entitlement to the provision or retention of specific AI models or third-party providers. The provider is entitled to change the AI models offered, to replace them with other models or to stop offering them, in particular if a third-party provider no longer makes a model available or only on significantly changed terms, or if the legal or regulatory framework changes for the provider or a third-party provider (for example in data protection law). Where possible and reasonable, the provider makes a functionally comparable model available in this case.

AI-generated results are created automatically and may be inaccurate, incomplete or misleading. The provider gives no warranty for the accuracy of the content of AI-generated results. The customer checks AI-generated results for accuracy and legal admissibility on its own responsibility before using them.

The scope of the AI functions may be subject to quotas depending on the plan. If a quota is exceeded, the provider may restrict or suspend the AI functions until the start of the next billing period. Availability commitments apply to AI functions only where expressly agreed.

§ 6Availability, maintenance & support

The provider strives for the highest possible availability of the Platform but does not owe uninterrupted accessibility. Excluded from availability are times during which the Platform cannot be reached, or only to a limited extent, due to maintenance work, necessary security measures or for reasons for which the provider is not responsible (force majeure, disruptions at upstream suppliers).

The provider carries out plannable maintenance work at times of low usage where possible and announces significant restrictions in advance where reasonable.

The provider provides support in accordance with the respective plan. Specific response or recovery times are only owed where expressly agreed. Support services for free plans are voluntary and may be adjusted or discontinued at any time.

§ 7Fees, price adjustment & payment default

The amount of any fees depends on the plan chosen by the customer and the price list valid at the time of the order. Free plans are marked as such. Unless otherwise agreed, fees are exclusive of statutory VAT, which is added to them, and are payable in advance for the respective billing period.

The provider is entitled to adjust prices reasonably with effect from the start of a new billing period, in particular to offset increased costs (e.g. for infrastructure, upstream services or personnel). Price adjustments are announced in text form at least two months before they take effect. If an increase amounts to more than 5 % compared with the previous price, the customer may terminate the contract as of the date the increase takes effect; the provider points this out in the announcement. Billing periods already paid remain unaffected by price adjustments.

The provider is furthermore entitled to change its plan structure and to discontinue individual plans. In this case, the provider may move the customer, with at least two months' notice in text form and with effect from the end of the current term, to the plan that is next most comparable in functionality and price. If the price or the scope of services deteriorates significantly as a result, the customer may terminate the contract as of the date the change takes effect; the provider points this out in the announcement.

If the customer is in default of payment, the provider may, after a reminder and the fruitless expiry of a reasonable grace period of at least 14 days, block access to the Platform until the outstanding fees have been paid. The customer's data is retained during the suspension; the obligation to pay the fees remains unaffected by the suspension. The right to extraordinary termination in the event of continued payment default remains unaffected.

§ 8Liability

The provider is liable without limitation for damage resulting from injury to life, body or health and for damage based on intent or gross negligence, as well as in cases of fraudulent intent, within the scope of expressly assumed guarantees and in accordance with the German Product Liability Act (Produkthaftungsgesetz).

In cases of simple negligence, the provider is only liable for the breach of an essential contractual obligation (cardinal obligation), the fulfilment of which makes the proper performance of the contract possible in the first place and on the observance of which the customer may regularly rely. In this case, liability is limited to the damage that is typical for this type of contract and foreseeable, and in total to the amount of the fees the customer paid to the provider in the twelve months preceding the damaging event. Liability for indirect damage, consequential damage caused by defects, lost profit and lost savings is excluded in cases of simple negligence.

The provider's no-fault liability for defects that already existed when the contract was concluded (§ 536a (1), 1st alternative BGB) is excluded.

For the loss of data, the provider is only liable up to the effort that would have been required to restore the data had the customer backed it up properly and regularly.

For services provided free of charge (e.g. free plans and trial periods), the provider is liable, subject to the first paragraph, only for intent, gross negligence and fraudulent intent.

Claims of the customer for damages under this § 8 become time-barred, except in the cases of the first paragraph, within twelve months from the start of the statutory limitation period. Any liability beyond this § 8 is excluded.

§ 9Indemnification

The customer indemnifies the provider against all third-party claims based on content posted by the customer or by users attributable to the customer, or on use of the Platform in breach of contract or law, including the reasonable costs of legal defence. This does not apply insofar as the customer is not responsible for the infringement. The customer supports the provider to a reasonable extent in defending against such claims.

§ 10Suspension

The provider may temporarily block the customer's access or individual content if there are concrete indications that stored content is unlawful or infringes the rights of third parties, or if the customer seriously violates § 4. Concrete indications exist in particular where courts or authorities give corresponding notice.

In choosing the measure and its duration, the provider takes the customer's legitimate interests into account. The provider informs the customer of the suspension without undue delay and lifts it as soon as the suspicion has been dispelled. Suspension due to payment default is governed by § 7.

§ 11Term & termination

TermOne month or one year, depending on the order; renews automatically for the same term each time.
Notice periodNone. You can cancel up to the last day of the current term; the cancellation takes effect at its end. Free accounts at any time.
HowVia the account settings or in text form; the account holder is entitled to cancel.
DiscontinuationAnnounced at least three months in advance; fees already paid are refunded pro rata.
Data export30 days after the end of the contract.

Contracts for paid plans have the term of one month or one year chosen when ordering. They renew automatically for the same term unless terminated beforehand. There is no notice period: termination can be declared until the end of the last day of the current term and takes effect at its end. Free accounts can be terminated by either party at any time without notice.

The customer declares termination via the account settings in the application or in text form. The account holder is entitled to do so; the provider may verify the authority of the person declaring termination and defer the termination until this is clarified. Termination is timely if it is received by the end of the last day of the current term, even if the clarification is only completed afterwards.

The right of both parties to extraordinary termination for good cause remains unaffected. Good cause for the provider exists in particular in the event of a serious violation by the customer of § 4 of these GTC.

The provider is entitled to discontinue the Platform as a whole. It announces the discontinuation in text form at least three months in advance; in this case the contract ends at the latest at the time of discontinuation. The provider refunds pro rata any fees already paid for periods after the discontinuation. The export option under this § 11 remains unaffected.

After the end of the contract, the provider gives the customer the option to export its data for a period of 30 days. The customer's data is then deleted in accordance with the statutory requirements and the privacy policy.

§ 12Beta & test features

The provider may mark individual functions as beta or test features or provide services for a limited period for test purposes. Such functions serve trial purposes, may be changed or discontinued at any time and are provided without warranty as to freedom from errors, completeness and availability. There is no entitlement to permanent provision; the removal of beta or test features does not give rise to a special right of termination. For services provided free of charge, the liability provisions in § 8 apply in addition.

§ 13Data protection

Details on the processing of personal data can be found in the privacy policy. Insofar as the provider processes personal data on behalf of the customer, the parties conclude a data processing agreement pursuant to Art. 28 GDPR; the provider provides the customer with a template for this.

§ 14Changes to these GTC

The provider is entitled to amend these GTC with effect for the future insofar as this is necessary to adapt to changed legal or technical conditions and does not unreasonably disadvantage the customer. Amendments are communicated to the customer in text form. They are deemed approved if the customer does not object to them within a reasonable period; the provider specifically points out this consequence in the notification. If the customer objects in due time, either party is entitled to terminate the contract as of the date on which the amendment is intended to take effect. Price adjustments are governed exclusively by § 7.

§ 15Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is the provider's registered office.

The customer may only set off undisputed or legally established claims against claims of the provider. The customer is only entitled to rights of retention on account of counterclaims arising from the same contractual relationship.

The provider is entitled to transfer the rights and obligations under this contract in whole or in part to an affiliated company or, in connection with a conversion or the sale of the business, to a third party. The provider notifies the customer of the transfer in text form; in the event of a transfer to a non-affiliated third party, the customer may terminate the contract extraordinarily as of the date the transfer takes effect. The customer may only transfer rights and obligations under this contract with the provider's prior consent in text form.

The provider may name the customer as a reference customer in the usual manner, using its name and logo (e.g. on the website and in presentations). The customer may object to being named as a reference at any time in text form.

The contract language is German. Translations of these GTC are provided for information only; in the event of any discrepancy, only the German version is authoritative.

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. Amendments and additions require text form.
